Rules of Procedure (photograph with signatures)
This Rules of Procedure (hereinafter called "Rules") apply to the SIAM Student Chapter called "Chinese Academy of Sciences (CAS) Chapter of SIAM" (hereafter called "the Chapter").
The Chapter to which these Rules apply is formed by the Society for Industrial and Applied Mathematics and shall operate within the Bylaws of the parent organization. The SIAM bylaws specify how Chapters are formed; see the SIAM bylaws for details. The Chapter shall not affiliate with any other organization without first obtaining the written approval of SIAM. Provisions for SIAM Student (University) Chapters are contained in the SIAM Bylaws and are included in these Rules. No provisions of these rules shall be construed so as to contradict the Bylaws of SIAM.
ARTICLE I
PURPOSE
The objectives of SIAM, as established in the Certificate of Incorporation, are:
- To further the application of mathematics to industry and science.
- To promote basic research in mathematics leading to new methods and techniques useful to industry and science.
- To provide media for the exchange of information and ideas between mathematicians and other technical and scientific personnel.
The objectives of the Chapter, are:
- To build strong connections between SIAM and the students in CAS, between students and the faculty, and between students from different research areas.
- To encourage and help students in CAS to apply mathematics to real-world problems.
- To promote the development of industrial and applied mathematics in CAS and even in China.
ARTICLE II
ACTIVITIES
To accomplish the objectives of the Chapter, a variety of activities will be organized by the Chapter, including:
- Organizing regular student seminars to share ideas, provoke discussions and seek collaborations.
- Inviting and sponsoring lectures by guest speakers from both academic and industrial communities.
- Organizing projects involving undergraduate students, in order to attract more talents into the area of industrial and applied mathematics.
To ensure the accomplishment of these objectives, at least six such activities shall be held per academic year.
ARTICLE III
INSTITUTION SERVED
Chapter members shall be recruited from Chinese Academy of Sciences.
ARTICLE IV
MEMBERSHIP
- Any graduate students engaged or interested in mathematics or computing and their applications are eligible for membership in this Chapter. SIAM membership is not required for the eligibility. SIAM encourages chapters to be interdisciplinary, including members from multiple departments.
- The Chapter has only one type of membership called "Student Membership". The Chapter shall issue its members Student Membership with no due.
- Chapter members shall have the privileges of SIAM membership only if they are regular or Student Members of SIAM.
- All members of the chapter are eligible for free Student Memberships in SIAM. The Chapter is responsible for providing list of its Student Members to SIAM so that complimentary Student Membership in SIAM can be processed.
- Termination of Student Membership shall take place upon graduation or withdrawal from CAS.
ARTICLE V
SPONSORSHIP
- The Sponsor is Institute of Computational Mathematics and Scientific/Engineering Computing (ICMSEC), Chinese Academy of Sciences.
- The Sponsor of the Chapter shall appoint a Faculty Advisor for the Chapter. In the event said Advisor relinquishes his/her position, the Sponsor shall appoint a new Advisor. The responsibilities, rights and duties of the Faculty Advisor shall be those normally assigned to the Faculty Advisor of student organizations of the Sponsor, but in addition, the Faculty Advisor is expected to take leading role in the development of the Chapter activities in consistence with the objectives of SIAM.
ARTICLE VI
OFFICERS
- The Chapter shall have a President, a Vice-President, a General Secretary and a Treasurer. Officers shall be elected as stated in Article VIII.
- The President performs the functions and duties vested by these Rules and the Vice-President may perform the President's functions and duties with President's authorization.
- The President shall preside at the meetings of the Chapter and the Executive Committee stated in Article VII. In the absence of the President, the Vice-President shall assume the duties of the President. In the absence of the latter, the General Secretary shall assume said duties.
- The Vice-President shall provide assistance to the President in managing the Chapter and shall maintain the website of the Chapter.
- The General Secretary shall keep a record of the affairs of the Chapter, handle correspondence, and submit an annual report of Chapter activities to the Secretary of SIAM by June 30th of every year, which report shall be suitable for publication in SIAM News or its equivalent.
- The Treasurer shall receive and take custody of Chapter funds, and shall submit an annual Treasurer's Report and other financial reports, as requested, to the Treasurer of SIAM. The annual Treasurer's Report shall be prepared as of the end of the academic year and shall be transmitted to the Treasurer of SIAM by June 30th of every year.
- The term of each Chapter officer is one year and shall last from the beginning of the second week of every academic year to the end of the first week of the next academic year. Any officer shall serve no more than two consecutive terms.
- The vacancy of any officer shall be filled through a Special Election Meeting as stated in Section 11 of Article VIII.
ARTICLE VII
EXECUTIVE COMMITTEE
- The Chapter shall be managed by an Executive Committee consisting of the incumbent officers.
- The incumbent President of the Chapter shall be the Chair of the Executive Committee, and shall be responsible for chapter management and decision making.
- The decision of the President shall not be valid unless it is approved by the Executive Committee with unanimous approval.
- The most recent retired but not impeached President shall be the Honorary Chair and Consultant of the Executive Committee, but shall not be a member of the Executive Committee. The Honorary Chair/Consultant shall not have voting right in the Executive Committee. The Honorary Chair is a life tenure.
- The term of the Executive Committee is one year and shall last from the beginning of the second week of every academic year to the end of the first week of the next academic year.
- The Executive Committee may recruit secretaries from Student Members of the Chapter. The secretaries recruited shall not be members of the Executive Committee and shall not have voting right in the Executive Committee. The secretaries recruited constitute the General Office of the Executive Committee, which shall report to the Executive Committee.
- The Executive Committee may invite any Consultants for advice and help to accomplish the Chapter's objectives. The Consultant is honorary and shall not be a member of the Executive Committee and shall not have voting right in the Executive Committee.
ARTICLE VIII
ELECTION AND IMPEACHMENT OF OFFICERS
- Officers shall be elected from Student Members of the Chapter.
- All the Student Members of the Chapter satisfying the following requirements have the right to be elected as officers of the Chapter:
- He/she shall be a Regular or Student Members of SIAM in good standing
- He/she shall have been a Student Member of the Chapter in good standing for at least 90 days. This shall not be mandatory when over 50% members are less than 90 days
- He/she shall not be an impeached officer of the Chapter stated in Section 9 of Article VIII
- All Student Members of the Chapter have the right to elect officers of the Chapter.
- An Election Meeting shall be held in June every academic year, and officers of the next Executive Committee shall be elected from candidates via voting at the Election Meeting.
- The candidates must be eligible as stated in Section 2 of Article VIII and shall be nominated by the incumbent Executive Committee or by himself/herself or by any Student Member(s) of the Chapter.
- The nominated candidates shall form a Candidate Team. The Candidate Team shall have exactly one President candidate, one Vice-President candidate, one General Secretary candidate and one Treasurer candidate. There shall be at least one Candidate Team. The Candidate Teams shall then be voted as a whole at the Election Meeting.
- All those who have the right to elect as stated in Section 3 of Article VIII shall participate in the Election Meeting and vote. Absence from the Election Meeting shall be regarded as abandonment of the right of electing.
- The Election shall not be valid unless at least two thirds of the Student Members of the Chapter are present at the Election Meeting and vote. The Candidate Team which captures over fifty percent of the votes shall be the newly elected Executive Committee. Another Election Meeting shall be scheduled by the incumbent Executive Committee if there is only one Candidate Team and the Team captures less than fifty percent of the votes.
- Impeachment of any officer shall be proposed by at least ten percent of Student Members of the Chapter and at least ten members. The Proposal shall then be voted in a regular meeting with the attendance of over two thirds Student Members of the Chapter. The Proposal shall be enforced when approved by sixty percent of the attendants. Any officer shall resign if the Proposal is enforced and the incumbent Executive Committee shall resign if the President is impeached by the Proposal.
- An Election Meeting shall be held within 2 weeks after the impeachment of the incumbent Executive Committee. A new Executive Committee shall be elected as stated by Section 5, 6, 7, 8 of Article VIII. The incumbent Executive Committee shall serve until the new Executive Committee takes responsibility.
- A Special Election Meeting shall be held within 2 weeks after the impeachment or vacancy of any individual officers. A Special Election Meeting shall take the same rules of an Election Meeting except that:
- There shall be at least one candidate for each vacancy
- The candidates shall be voted individually
- All vacancy shall be filled
ARTICLE X
MEETINGS
- There shall be 4 regular meetings per academic year. The meeting shall be scheduled by the Executive Committee. The last meeting shall be scheduled in June and serves as an Election Meeting.
- Other business meetings may be called by the President or the General Secretary on two weeks notice.
ARTICLE XI
CHAPTER FUNDS
- The Chapter may levy voluntary contributions and raise funds in any lawful manner in consistence with these Rules and the Bylaws and Certificate of Incorporation of SIAM.
- The Chapter shall deposit all unused funds to which it has legal title in excess of $200 in an insured savings account, unless current operating commitments are in excess of that amount or unless the Chapter Treasurer obtains a written authorization from the SIAM Treasurer.
- The Treasurer shall maintain books of account that show income and expense items for all activities and balances for all accounts of the Chapter.
- The Chapter may request a grant or loan from the Treasurer of SIAM under the provision of Article XII, Chapter 8 of the Bylaws of SIAM. Such requests shall be made by submission of "Request for Funding" form to SIAM and include a current financial statement for the Chapter and a proposed budget for the requested funds.
- Other than seeking funds from the sponsoring institutions of the chapter, no officers or members of the Chapter may apply for a grant to support the Chapter activities or enter into any contract to support such activities or provide services, without approval of the President and the Treasurer of SIAM or the Executive Director acting on behalf of the Treasurer.
ARTICLE XII
AMENDMENTS
These Rules may be altered or amended with the approval of the SIAM Board of Trustees. Submission to the board of proposal alterations or amendments shall be made only after approval by 75% vote of members of the Chapter present (or represented by proxy) at a scheduled meeting.
ARTICLE XIII
TERMINATION OF THE CHAPTER
- A Chapter may terminate itself by the unanimous vote of the members of the Chapter present (or represented by proxy) at a scheduled meeting, provided that notice of the proposed termination and the meeting at which it is to be considered has been given to all Chapter members at least 30 days in advance.
- A Chapter may be terminated by the board if there has been no Chapter activity for one year.
- In the event a Chapter terminates, the funds to which it has legal title shall revert to the account of SIAM
